7 Clauses1. Scope of Commercial Services & Booking Authorization
Sanju Kava Films ("Studio") delivers specialized audio-visual production services including 4K/8K corporate video production, long-term solar/construction time-lapse, licensed drone aerial filming, 3D product animations, and multilingual voice-over dubbing.
• Formal Proposal & PO: All production assignments are initiated upon mutual execution of a written project scope proposal, commercial estimate, or official Purchase Order (PO).
• Deliverable Specifications: Video resolutions, frame rates, aspect ratios, color grading targets, and delivery formats are defined in the project agreement prior to shoot commencement.
2. Financial Provisions, Deposits & Payment Milestones
To ensure crew deployment, gear reservation, and pre-production planning, commercial projects adhere to the following financial schedule:
• Advance Booking Deposit: A standard 50% non-refundable booking deposit is required prior to reserving production dates, talent, or drone permits.
• Milestone & Final Release: 40% is payable upon submission of the first rough-cut edit review, and the remaining 10% balance is required prior to releasing final master 4K/8K unwatermarked video renders.
• Late Settlement: Overdue invoices beyond 30 days incur a standard commercial interest fee of 1.5% per month as per Indian commercial norms.
3. Intellectual Property, Raw Footage & Master Rights
Intellectual property ownership and master broadcast rights are structured as follows:
• Master Broadcast License: Upon full invoice settlement, Sanju Kava Films grants the Client a perpetual, worldwide, non-exclusive commercial license to broadcast, stream, advertise, and distribute the final edited video deliverables.
• Raw Camera Footage: Raw sensor files (e.g. ProRes RAW, REDCODE, BRAW, LOG files) remain the sole intellectual property of Sanju Kava Films unless raw footage transfer is explicitly purchased under a separate commercial buy-out agreement.
• Portfolio Rights: Sanju Kava Films retains the right to display final video edits and behind-the-scenes material in studio showreels, portfolio website galleries, and award entries, subject to agreed NDA embargo dates.
4. Site Access, HSE Safety & Drone Aviation Clearances
For industrial plants, construction sites, maritime shipyards, and high-altitude aerial operations:
• Site Clearances & PPE: The Client is responsible for securing all site entry permits, safety orientation passes, and personal protective equipment (PPE) required for crew access.
• Drone Aviation Regulations: Aerial filming operations are conducted strictly in compliance with Directorate General of Civil Aviation (DGCA) drone airspace rules in India. Flights over restricted red-zone airspace, military installations, or hostile weather are subject to mandatory pilot cancellation.
• Crew Safety Protocol: Sanju Kava Films reserves the right to suspend filming without penalty if site conditions violate industrial safety regulations or endanger crew members.
5. Revision SLAs, Feedback Windows & Sign-Off
Post-production edit reviews are structured to ensure efficient project completion:
• Included Edit Rounds: Commercial contracts include up to two (2) rounds of consolidated revision feedback on rough cuts.
• Revision Scope: Included edits cover timing tweaks, audio level adjustments, lower-third graphic text corrections, and color adjustments within the original storyboard.
• Out-of-Scope Alterations: Substantive script changes, voice-over re-recordings, re-shooting scenes, or new 3D graphics requested post-approval will be billed at standard hourly studio rates.
• Review Timeline: Clients must provide consolidated written feedback within 7 business days of edit delivery to maintain scheduled project completion deadlines.
6. Rescheduling, Weather Cancellations & Force Majeure
Production timelines affected by external factors are governed by fair rescheduling terms:
• Weather Delays: Outdoor aerial drone or time-lapse setup postponements due to heavy rain, dust storms, or high wind speeds will be rescheduled to the earliest safe date at no additional fee (except crew travel re-booking costs).
• Client Rescheduling: Shoot date changes requested by the Client within 48 hours of scheduled call-time incur a 20% crew re-booking fee.
• Force Majeure: Neither party shall be liable for failure to perform obligations caused by acts of God, civil unrest, airport airspace closures, or government restrictions.
7. Governing Law & Dispute Resolution Venue
These terms and all commercial production contracts executed by Sanju Kava Films are governed by and construed in accordance with the laws of the Republic of India.
Any legal disputes, arbitrations, or legal proceedings arising out of or in connection with our services shall be subject to the exclusive jurisdiction of the competent courts in Bhavnagar, Gujarat, India.
